New York Corporations and LLCs are required to file a Biennial Statement every two years with the New York State Department of State. While most states require an annual report each year, New York only requires the Biennial Statement every other year.
The two-year filing period begins in the calendar month in which the original Certificate of Incorporation or Articles of Organization was filed with the NY Department of State. If a corporation or LLC fails to file its Biennial Statement it will fall out of Good Standing with the New York Department of State.
