LLC Surrender of Authority Information
Once a Foreign LLC is registered in New York its registration is generally perpetual, unless the LLC files a Certificate to Surrender Authority pursuant to Section 806 of the New York State Limited Liability Company law. Shutting down a Foreign LLC may become necessary for many reasons, and if the LLC is no longer active in New York State it’s usually a good idea to to terminate it to avoid potential business liabilities and entity maintenance costs.
